Terms of service

SMUK G.K. (hereinafter referred to as “the Company”) hereby establishes the following Terms of Use (hereinafter referred to as “these Terms”) for the services provided through the official online shop operated by the Company (hereinafter referred to as “the Service”).

Article 1 (Scope of Application)

These Terms shall apply to all users, as defined in Article 3, who use the website operated by the Company (hereinafter referred to as “the Site”) and any services provided through the Site (hereinafter referred to collectively as “the Service”).

Acts such as ordering or purchasing products (hereinafter referred to as “Products”) via the Site shall also be deemed use of the Service.

Any user guides or other individual provisions separately stipulated by the Company shall form part of these Terms. In the event of any inconsistency or conflict between such provisions and these Terms, these Terms shall take precedence.

By using the Site or the Service and placing an order, users are deemed to have agreed to all the provisions of these Terms.

Article 2 (Amendment of Terms)

The Company may revise all or part of these Terms at its discretion without obtaining prior consent from users in any of the following cases:

  1. When the revision is in the general interest of users.
  2. When the revision is reasonable, in light of the necessity of the change, the appropriateness of the content after the change, and other relevant circumstances, and does not contradict the original purpose of the contract.

In the event of such revisions, the Company shall announce the details and effective date of the revised Terms in advance, either on the Company’s website (https://smuk.jp) or via email.

If a user continues to use the Site or the Service, or places an order after the effective date of the revised Terms, they shall be deemed to have agreed to the changes.

Article 3 (Definition of Users)

“Users” refers to all individuals who use the Site or the Service, including those who have registered as members in accordance with Article 5 (hereinafter referred to as “Members”).

Article 4 (Use of the Service)

Users shall comply with these Terms as well as other usage conditions separately stipulated by the Company (including the “User Guide”, but not limited thereto) when using the Service.

The Company may, at its discretion and without prior notice or user consent, modify or terminate all or part of the Service. The Company shall bear no responsibility for any damages or losses incurred by users or third parties due to such modifications or termination.

If the Service is suspended, a server failure occurs, or the Company deems it necessary to do so, the Company may notify users at their registered email address. However, the Company is under no obligation to do so.

Article 5 (Membership Registration)

Individuals who wish to register as Members must agree to these Terms and complete the registration procedures specified by the Company (e.g., filling out a registration form on the Site). Only the individual applying may register; registration by proxy is not permitted.

Membership registration shall be completed upon acceptance by the Company. However, the Company may reject or cancel a registration without prior notice if any of the following apply:

  1. False or inaccurate information was provided
  2. The applicant engaged in prohibited conduct as described in Article 7
  3. The applicant was previously subject to membership suspension or cancellation
  4. Duplicate registration using an email address already registered
  5. Use of an email address not belonging to the applicant
  6. Registration suspected to be on behalf of a third party or under a borrowed name
  7. The applicant is under 16 years of age
  8. The applicant is a corporation or organization
  9. Any other reason the Company deems inappropriate

Article 6 (Withdrawal)

Members who wish to cancel their membership must contact the Company’s customer care team. Cancellation becomes effective once the Company confirms and processes the request.

If the Member has pending shipments or unsettled transactions, cancellation may be delayed or denied.

Article 7 (Prohibited Conduct)

Users must not engage in the following conduct. If violated, the Company may suspend services, delete accounts, or refuse future use without notice. Users shall compensate for any resulting damages:

  • Submitting false information
  • Obstructing or interfering with service operations
  • Unauthorized use of credit cards or payment methods
  • Using others’ login credentials
  • Infringing rights or reputation of others or the Company
  • Defamation, false reviews, or malicious posts
  • Spam, excessive or repeated submissions
  • Violating laws or public morals
  • Sending harmful programs, viruses, or links
  • Impersonation or multiple unauthorized accounts
  • Other actions deemed inappropriate (e.g., harassment, stalking)

*The Company may implement technical restrictions (e.g., IP/device/email block) without notice.

Article 8 (Handling of Login ID and Password)

Members are responsible for managing their login credentials. Sharing, transferring, or disclosing them without consent is prohibited.

If the credentials match Company records, any use is considered by the Member. The Company is not liable for any resulting damages unless caused by gross negligence.

Article 9 (Suspension of the Service)

The Company may, without prior notice, suspend all or part of the Service, freeze or delete user accounts, restrict access based on IP address or device information, or take other necessary technical measures if any of the following applies:

  1. The user violates or is likely to violate these Terms
  2. The user is found to have a history of violations or transaction-related disputes
  3. The user delays or fails to make payments, or is deemed to have credit issues
  4. Fraudulent use of third-party credit cards or false order information
  5. Harassment, abusive reviews, repeated inquiries, or disruptive monitoring or access
  6. Any other case where the Company reasonably deems continued service provision to be inappropriate

The Company shall not be liable for any damages or disadvantages incurred by the user or third parties due to such actions, except in cases of willful misconduct or gross negligence by the Company.

Article 10 (Temporary Suspension of the Service)

To ensure safe and smooth operation, the Company may temporarily suspend the Service without prior notice in any of the following situations:

  1. Regular or emergency maintenance, or necessary system updates
  2. Natural disasters, power outages, communication failures, or unauthorized external interference
  3. Any other technical or operational issue the Company deems unavoidable

The Company shall not be liable for any damages or losses caused to users or third parties due to the suspension of the Service.

Article 11 (User Information Management)

The Company shall appropriately manage user-provided information and information obtained through the use of the Site or Service in accordance with the “Privacy Policy” and in compliance with applicable laws, including the Act on the Protection of Personal Information.

The Company may use the obtained information for the following purposes:

  • Operation and provision of the Service
  • Customer support, communication, and notifications about related services or products
  • Service improvement and user behavior analysis

Users are deemed to have agreed to the Privacy Policy posted on the Site when using the Service.

Article 12 (Information Posted by Users)

The Company may, without prior notice, delete, hide, or modify content (text, images, reviews, etc.) submitted by users if it reasonably determines the content:

  1. Clearly infringes on intellectual property or privacy rights
  2. Has received complaints or legal warnings
  3. Violates prohibited acts under Article 7
  4. Violates laws or regulations
  5. Is otherwise deemed inappropriate by the Company

Users bear full legal responsibility for any content they submit. The Company is not liable for resulting damages and may restrict access without notice if violations occur.

Article 13 (Copyright and Trademark Rights)

All intellectual property rights related to content (documents, images, programs, logos, etc.) provided through the Site or Service belong to the Company or its licensed partners. Unauthorized use is prohibited without written permission.

By submitting content (text, images, reviews, etc.), users grant the Company a non-exclusive, royalty-free, worldwide license to use such content as follows:

  1. The content does not infringe third-party rights
  2. It may be used on the Site, social media, newsletters, ads, or printed materials, including editing or omitting author names
  3. Users waive their moral rights
  4. No compensation shall be paid, and the license lasts for the copyright term

The Company may also use submitted content in accordance with the Privacy Policy for product development and marketing.

Article 14 (Disclaimer)

The Service is provided “as is.” The Company makes no warranties regarding accuracy, usefulness, legality, or fitness for purpose.

Users use the Service at their own risk. The Company is not liable for:

  • Loss of profits or indirect damages
  • System failures, cyberattacks, or unauthorized access
  • Disputes between users or with third parties

Notifications are considered delivered if sent to the registered contact. The user must keep their contact information up to date.

If the Company is liable due to negligence, it shall only cover direct and ordinary damages.

Article 15 (External Links)

The Company does not manage or guarantee the content of third-party websites linked from or to the Site. The Company assumes no liability for any damages from using such links.

If a user creates a link that harms the Company’s brand or is misleading, the Company may request its removal, and the user must comply promptly.

Article 16 (Customs Duties and Import Taxes)

Products may be subject to customs duties, VAT, import taxes, or handling fees depending on the destination country. These costs are borne by the customer.

For details, customers should contact their local customs office. The Company is not liable for such charges.

Article 17 (Review Posting Guidelines)

The following review content is prohibited, both on and off the Site (including social media):

  1. False statements, defamation, or baseless accusations
  2. Unrelated or emotionally charged content
  3. Disclosure of personal information
  4. Spam, advertising, or repetitive posts
  5. Illegal or inappropriate content

The Company may delete such content, suspend accounts, or take other actions without notice. The Company is not liable for resulting consequences.

Article 18 (Measures Against Violations)

If a user engages in the following malicious behavior, the Company may take necessary action without notice, including account suspension, review restrictions, or legal measures:

  • False damage or refund claims
  • Defamation or false accusations via reviews or external channels
  • Unjustified complaints or harassing conduct

If such actions damage the Company’s reputation or operations, the Company may pursue legal remedies, including damages for business interference. The Company shall not be liable for any losses resulting from such measures.
